DirectFlow Business Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the DirectFlow Business Portal ("Platform"), operated by EIGHTY SIX CODE DEVELOPMENT AND INNOVATION IN COMPUTER SYSTEMS AND PROGRAMS - L.L.C, a company registered in Abu Dhabi, UAE Mainland ("DirectFlow," "we," "us," or "our").
By signing up for or using the Platform, you enter into a legally binding agreement and agree to comply with these Terms.
1. Contractual Relationship
By accessing or using DirectFlow, you acknowledge that these Terms constitute a legally binding agreement between you and DirectFlow, governed by UAE law.
2. Business Eligibility
To use DirectFlow, your business must:
- Be legally registered in the UAE.
- Provide accurate and valid documentation: trade license, VAT certificate, passport copy, and Emirates ID of the authorized signatory.
3. License Grant
DirectFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms. You may not sublicense, share, sell, or replicate the system or access.
4. Account & Access
- You are responsible for maintaining the confidentiality of login credentials.
- You may add managers, staff, and delivery users.
- You are responsible for any actions taken under your account.
5. Data Use & Responsibility
You may access customer data only for orders placed with your business, including:
- Name
- Phone number
- Delivery address
- Order details
You agree to:
- Handle customer data according to UAE data protection laws.
- Not misuse, resell, or share data with unauthorized parties.
- Export your data before account termination. DirectFlow is not required to retrieve deleted data.
6. Content Ownership & License
- You retain ownership of all content you upload (logos, menus, images, descriptions).
- You grant DirectFlow a non-exclusive, royalty-free license to use, store, display, and process this content as needed to operate the Platform.
- You are responsible for ensuring your content is legal and accurate.
- DirectFlow may remove content that violates UAE laws or platform rules.
7. Feedback Clause
Any ideas, suggestions, enhancement requests, or feedback you share may be used freely by DirectFlow without compensation, credit, or obligation.
8. WhatsApp Marketing
- Promotional messages may only be sent to customers who explicitly opt in after their first order.
- Businesses cannot upload their own contact lists.
- Sending unauthorized bulk messages is prohibited and may result in suspension.
9. Payments & Integrations
- You must connect your own payment gateway to receive online payments.
- DirectFlow does not store or access card/payment details.
- DirectFlow integrates with third-party tools such as Meta APIs and analytics systems, and is not responsible for their performance or outages.
10. Platform Usage
The Platform includes features such as:
- Dashboard
- Order management
- Fulfillment settings
- Staff & driver management
- WhatsApp integration
- Analytics and customer database
You agree to:
- Use the Platform only as intended.
- Not exploit or manipulate system features.
11. Third-Party Services Disclaimer
DirectFlow is not responsible for:
- Errors, outages, or disruptions caused by Meta, payment gateways, or other third-party tools.
- How third-party services handle data.
12. Beta Features
Features labeled "Beta," "Pilot," or "Experimental" are provided as-is, may contain bugs, and may be modified or removed at any time.
13. Intellectual Property & Platform Protection
DirectFlow owns all rights to:
- The platform structure
- Codebase
- System logic
- Features, design, and workflows
Businesses may not:
- Copy or replicate the system
- Reverse engineer the platform
- Create competing derivative systems
Legal action may be taken for violations.
14. Acceptable Use & Prohibited Actions
You may not use DirectFlow to:
- Conduct fraud or scams
- Send spam or unauthorized messages
- Upload viruses or malicious code
- Scrape or extract data without permission
- Gain unauthorized access to the system
- Sell illegal goods or services
- Violate UAE consumer or data protection laws
DirectFlow may suspend accounts immediately if such activity is suspected.
15. Service Availability & No Warranty
DirectFlow is provided "as is" and "as available."
We do not guarantee:
- Uninterrupted service
- 100% uptime
- Error-free performance
- Compatibility with all devices
Service may be interrupted due to:
- Maintenance
- Bugs
- Third-party outages
- Internet or infrastructure failures
16. Pricing Updates & Platform Changes
DirectFlow may modify business membership package pricing at any time without prior notice. DirectFlow may modify, add, update, or remove features at any time without prior notice.
17. Service Suspension & Termination
We may suspend or terminate your access:
- For violating these Terms
- For misuse or suspicious activity
- For non-payment
- Or for any reason, at our discretion, with or without cause
18. Limitation of Liability
DirectFlow is not responsible for:
- Your business operations, order errors, deliveries, or customer disputes
- Staff misconduct or data misuse
- Losses caused by outages or third-party disruptions
Total liability shall not exceed AED10.
19. Indemnity
You agree to indemnify and hold DirectFlow harmless from any claims, damages, or legal actions arising from:
- Your business operations
- Your use or misuse of the Platform
- Violations by you or your staff
20. Force Majeure
DirectFlow is not liable for service failures caused by events beyond our control, including:
- Natural disasters
- Internet/power outages
- Government regulations
- Strikes or technical disruptions
21. Data Export & Retention Responsibility
Before requesting account closure, you must export any data you need.
Once deleted, your data cannot be recovered.
22. No Joint Venture
Using DirectFlow does not create a:
- Partnership
- Joint venture
- Employment relationship
- Agency relationship
DirectFlow is not a partner or operator of your business.
23. Survival of Terms
The following survive termination:
- Intellectual Property
- Indemnity
- Limitation of Liability
- Governing Law
- Feedback Rights
- Prohibited Use
24. Governing Language
In case of any discrepancy between English and Arabic versions, the English version prevails.
25. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
All disputes shall be resolved in the courts of Abu Dhabi.
